The Industrial Bank Co., Ltd (the“Company”) and all members of the Board of Supervisors hereby warrant that the information contained in this announcement is true, accurate and complete, and assume joint and several liabilities for any false representation, misleading statement or material omission.
The 10th meeting of the sixth Board of Directors of the Industrial Bank was convened by means of correspondence. The notice for the meeting and the motions for deliberation were issued on July 11, 2008. Voting opinions were collected on July 16, 2008. The number of directors eligible to vote was fifteen. The number of directors that actually cast votes was 15, which conformed to the relevant provisions of the Company Law of the People's Republic of China and the Articles of Association.
The Meeting reviewed and approved the following two motions:

Voting Result: In Favor: 15 votes; In Opposition: 0 vote; Abstention: 0 vote.
II. Self-examination and Self-correction Report on Preventing Major Shareholders from Impropriating the Capital of the Listed Company for Non-operational Purposes was deliberated and approved.
The self-examination showed that the Industrial Bank has a sound internal control system and sound mechanisms to prevent major shareholders from impropriating capital. Inadequacy of the internal control system has not been found in regard to the prevention of impropriation by major shareholders. The self-examination also revealed no instances of impropriation of the Industrial Bank's capital for non-operational purposes by any of its actual controllers, major shareholders or their related parties.
