Announcement on Obtaining Approval to Set up Financial Leasing Company

The Industrial Bank Co., Ltd (the Company) and all members of the Board of Directors hereby warrant that the information contained in this announcement is true, accurate and complete, and assume joint and several liabilities for any false representation, misleading statement or material omission.

Pursuant to the Approval on Setting up Financial Leasing Company (Yin Jian Fu [2010] No.98) from the China Banking Regulatory Commission, the Company was approved to set up its Financial Leasing Company. The Company will carry out relevant setting-up work in accordance with regulations and rules, and will apply to the China Banking Regulatory Commission for the opening of business upon the completion of setting-up work.
