The first meeting of the fifth Board of Supervisors was convened in Fuzhou on October 28, 2010. Nine supervisors were required to attend the meeting, wherein, the number of supervisors that actually attended the meeting was nine. (Supervisor Wu Xiaohui and supervisor Wang Guogang entrusted chairwoman of the Board of Supervisors Bi Zhonghua and supervisor Zhou Yeliang respectively to exercise voting rights on their behalves). The meeting was convened in compliance with the provisions of the Company Law of the People’s Republic of China and the Articles of Associations of the Company.The meeting was presided over by Chairwoman Bi Zhonghua. The following proposals were reviewed and adopted at the meeting:
I. Resolution on electing Ms. Bi Zhonghua as chairwoman of the Board of Supervisors
Voting Results: 9 votes in favor; 0 votes in opposition; 0 abstentions
II. Resolution on composition of committees under the Board of Supervisors
1.The Supervision Committee consists of the following three members: Zhou Yeliang, Lai Furong and Li Zhaoming. External supervisor Zhou Yeliang is committee chairman. 2.The Nomination, Remuneration and Evaluation Committee consist of the following members: Wang Guogang, Tu Baogui and Xu Guoping. External supervisor Wang Guogang is committee chairman.
Voting Results: 9 votes in favor; 0 votes in opposition; 0 abstentions
III. Review and approve the Third Quarter Report 2010.
Voting Results: 9 votes in favor; 0 votes in opposition; 0 abstentions
The meeting also listened to the report on financial status for January-September 2010.
