Announcement on Resolutions of the Seventh Meeting of the Fifth Board of Supervisors
All members of the Board of Supervisors hereby warrant the authenticity, accuracy and integrity of this Announcement, and shall bear joint responsibility for any false or misleading statements or material omissions contained in this announcement.
The seventh meeting of the fifth Board of Supervisors was held on 27 October, 2011 in Fuzhou. Nine supervisors should attend the meeting, and there were nine supervisors were in fact present. (Supervisor Wu Xiaohuii and Supervisor Li Zhaoming entrusted Ms. Bi Zhonghua, Chairwoman of the Board of Supervisors and Supervisor Zhou Yuhan respectively to exercise voting rights on their behalves). The meeting was convened in compliance with the provisions of the Company Law of the People’s Republic of China and the Articles of Associations of the Company.
The meeting was presided over by Chairwoman Bi Zhonghua. The Board reviewed and approved the 2011 Q3 Report. All supervisors considered that: 1. The preparation and reviewing procedures of the Company’s 2011 Q3 Report was in compliance with the laws, rules, the Company’s Articles of Association and relevant internal administrative measures. 2. The content and format of the report met relevant requirements of the CSRC and Shanghai Stock Exchange, and the information contained in the report can truly reflect the Company’s operating management and financial situation during the reporting period. 3. Materials contained in the Report are free from any false representation, misleading statement or material omission. No behavior violating the confidentiality rules or jeopardizing the Company’s interest were found on persons participating the 2011 Q3 Report preparation.
Voting Result: In Favor: 9 votes; In Opposition: 0 vote; Abstention: 0 vote.
The Board also listened to the Report on 2011 January-September Financial Status, Report on 2011 January-September Internal Audit Work, and Report on 2011 January-September Internal Control Management Work.
