Announcement on Replacing the Sponsor and Sponsor Representatives for Continuous Supervision

The Company and all the members of the Board of Directors warrant the truthfulness, accuracy and completeness of the announcement and will bear the joint and several liabilities for any false record, misleading statement or major omission in the announcement.

On July 4, 2012, Industrial Bank Co., Ltd. (hereinafter referred to as the “Company”) signed and entered into the “Sponsor Agreement on the Non-public Offering of A-share of Industrial Bank Co., Ltd.” with Credit Suisse Founder Securities Limited (hereafter referred to as “Credit Suisse Founder”), entrusting it to serve as the sponsor for the non-public offering of common shares and continuous supervision of the Company. Credit Suisse Founder appointed Guo Yuhui and Li Hui as the sponsor representatives for the non-public offering of common shares of the Company. According to relevant provisions, the continuous supervision period of Credit Suisse Founder to the Company lasts till December 31, 2014.

The Company held the 2013 General Shareholders’ Meeting on June 27, 2014, which deliberated and approved the proposal on non-public offering of domestic preferred shares. In addition, the Company entered into the “Sponsor Agreement on the Non-public Offering of Domestic Preferred Shares of Industrial Bank Co., Ltd.” with CITIC Securities Company Limited (hereinafter referred to as “CITIC Securities”) and Industrial Securities Co., Ltd. (hereinafter referred to as “Industrial Securities”) on September 10, 2014, engaging both companies as the co-sponsor for the non-public offering of domestic preferred shares by the Company.

According to relevant provisions including the “Administrative Measures for the Sponsorship Business of the Issuance and Listing of Securities” of China Securities Regulatory Commission (CSRC), the Company shall terminate the sponsor agreement with the original sponsor in order to engage another sponsor separately for applying to issue securities again. The other sponsor engaged separately shall complete the continuous supervision left unfinished by the original sponsor, and conduct the sponsorship and bear relevant responsibility as from the execution of the sponsor agreement.

As from September 10, 2014, CITIC Securities and Industrial Securities shall undertake the continuous supervision for the non-public offering of common shares of the Company, and the “Sponsor Agreement on the Non-public Offering of A-share of Industrial Bank Co., Ltd.” signed by and between the Company and Credit Suisse Founder will be terminated. CITIC Securities appointed Mr. Zhou Jiwei and Mr. Luo Zhongxing, and Industrial Securities appointed Mr. Tian Jinhuo and Ms Qiao Jie as the sponsor representatives for the non-public offering of common shares of the Company in the remaining supervision period, which extends from September 10, 2014 to December 31, 2014.
